AGREEMENT BETWEEN USER AND VIH AEROSPACE

The VIH Aerospace Web Site is comprised of various Web pages operated by VIH Aerospace. The VIH Aerospace Web Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the VIH Aerospace Web Site constitutes your agreement to all such terms, conditions, and notices.

USE OF SITE

You hereby agree not to introduce into or through this Site any information or material that may be harmful to others. You agree not to include, knowingly or otherwise, any error or defect in information that may, among other things, constitute libel, slander or defamation, or give rise to a criminal offence or civil liability on the part of any person or entity. You hereby warrant that information or material that you provide to VIH Aerospace electronically through your access to or use of this Site does not infringe the rights of any person or entity. The VIH Aerospace Web Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, links to e-mail, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, “Communication Service”), you agree to use the Communication Service only to post, send and receive messages and material that are proper and related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using the Communication Service, you will not:

Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material, or information.

VIH Aerospace has no obligation to monitor the Communication Services. However, VIH Aerospace reserves the right to review materials posted to a Communication Service and to remove any materials at its sole discretion. VIH Aerospace reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever. VIH Aerospace reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post, or to remove any information VIH Aerospace does not claim ownership of the materials you provide to VIH Aerospace (including feedback and suggestions) or post, upload, input or submit to any VIH Aerospace Web Site or its associated services (collectively “Submissions”). However, by posting, uploading, inputting, providing or submitting your Submission you are granting VIH Aerospace, its affiliated companies and necessary sub licensees permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission. LIABILITY DISCLAIMER OF WARRANTIES

The materials on this Site, which may include the underlying HTML, text, images, audio clips, video clips, software, and other materials (the “Content”), are provided by VIH Aerospace for informational purposes only. VIH Aerospace intends the Content on the Site to be accurate and current. Nevertheless, since the Content has been compiled by VIH Aerospace from a variety of sources, it is provided to you “as is” and “as available”, without warranties of any kind. This Site may contain typographical errors and certain inaccuracies. Any consequence of any decision you make based on any part of the Content is your sole responsibility. VIH Aerospace assumes no responsibility to you or any third party for any errors or omissions of any kind in the content and disclaims all warranties, representations, conditions, guarantees, or endorsements, whether express or implied by law, statute, trade usage or otherwise, with respect to the content and to any matter relating to the Site, including but not limited to implied warranties and/or conditions of merchantability, operation, non-infringement, title, usefulness, completeness, accuracy, currency, reliability, or fitness for any particular purpose. TERMINATION/ACCESS RESTRICTION

VIH Aerospace reserves the right, in its sole discretion, to terminate your access to the VIH Aerospace Web Site and the related services or any portion thereof at any time, without notice and to the maximum extent permitted by law. This agreement is governed by Canadian laws and you hereby consent to the exclusive jurisdiction and venue of courts in Canada in all disputes arising out of or relating to the use of the VIH Aerospace Web Site. Use of the VIH Aerospace Web Site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and VIH Aerospace as a result of this agreement or use of the VIH Aerospace Web Site. VIH Aerospace’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of VIH Aerospace’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the VIH Aerospace Web Site or information provided to or gathered by VIH Aerospace with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and VIH Aerospace with respect to the VIH Aerospace Web Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and VIH Aerospace with respect to the VIH Aerospace Web Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be drawn up in English.

All contents of the VIH Aerospace Web Site are the property of VIH Aerospace Website and/or its suppliers. VIH Aerospace either owns the intellectual property rights in the Content that is made available to you on this Site, or has obtained the permission of the owner of the intellectual property in such Content to use the Content on this Site. Except as provided in these Terms of use, VIH Aerospace prohibits the redistribution or copying of any Content on this Site without its express written permission. All rights reserved.

TRADEMARKS

The names of companies and products mentioned herein may be the Trademarks of

their respective owners. Any rights not expressly granted herein are reserved. The

Trademarks, logos and service marks displayed on this Site (collectively the

“Trademarks”) are registered and unregistered Trademarks of VIH Aerospace or of third

parties. Nothing contained on this Site shall be construed as granting, by implication,

estoppel or otherwise, any license or right to use any Trademark without the express

prior written permission of VIH Aerospace or such third party as may own any

Trademark. Your misuse of any Trademark or any other Content on this Site is strictly

prohibited. Not all of the logos, Trademarks or trade names of VIH Aerospace used on

this Site. The absence of any logo, trademark or trade name of VIH Aerospace from this

Site does not constitute a waiver of any intellectual property rights of VIH Aerospace

regarding any such logo, trademark or trade name.
